General terms and conditions
Scope of application / delivery area
For all business relations between the company KS Drehtechnik Sauerland GmbH (register court: Arnsberg, commercial register number: 1077) and the purchaser, these general terms and conditions of business shall apply exclusively in the version valid at the time of the order, even if they are not expressly agreed again. Contradictory or supplementary terms and conditions of the customer, orderer/buyer and verbal agreements shall only be binding if they have been confirmed in writing by the seller/supplier.
Conclusion of contract
All offers are subject to change. The prices shown are binding until they are updated. A contract between the company KS Drehtechnik Sauerland and the purchaser is concluded by an order by fax, e-mail or telephone of the purchaser and the written order confirmation by the company KS Drehtechnik Sauerland. Illustrations, dimensions and weight specifications in information and advertising documents are non-binding. Misprints, errors and changes are reserved.
Revocation
The customer can cancel his order by sending a cancellation immediately afterwards by e-mail or fax to the company KS Drehtechnik Sauerland. The latter will then confirm the cancellation of the order in writing. In case of comprehensible reasons such as delay of payment or non-payment of previous deliveries, the supplier is entitled to revoke or cancel orders.
Prices
All prices of the indicated currency are subject to change and are quoted ex place of dispatch plus transport costs as well as the legal value added tax. For orders under 50 Euro a handling fee of 10 Euro will be charged. Deliveries to new customers only against prepayment.
Delivery
The ordered goods will be made available for collection within the period agreed with the customer. Shipping costs are always at the expense of the buyer, if not agreed separately. Transport damages have to be claimed by the buyer/consignee immediately after receipt of the contractual items at the transport company and have to be reported to KS Drehtechnik Sauerland (only if the transport was organized by KS Drehtechnik Sauerland). The shipment is at the risk of the consignee. If it should happen that the products ordered by the customer are not or only partially available, the customer will be informed immediately (by means of order confirmation or direct contact). In this case, KS Drehtechnik Sauerland reserves the right to withdraw from the contract. If the customer is in delay with the payment of a previous delivery, the supplier is entitled to withhold deliveries or orders or not to accept them without being obliged to compensate any damage that might occur.
Right of ownership
Current Account/Balance Clause (Business Obligation Clause): The Seller retains title to the goods until all of the Seller's claims against the Buyer have been settled. This shall also apply if individual or all claims of the Seller have been included in a current account and the balance has been struck and acknowledged.
Right of return
It is possible to return the ordered items for a refund of the purchase price within a maximum of 14 days and after receipt of the goods for a handling fee of 25 euros. The goods must be returned in mint condition in the original packaging; the transport costs of the return are at the expense of the buyer, except in the case of production defects. In any case, the supplier must be notified in writing before returning or returning the goods. If the goods are custom-made for the customer, the right of return is not applicable. In this case, there is only the right of exchange for defective products or the supplier has the right to decide on a case-by-case basis whether to exchange, re-produce or credit the defective products.
Warranty and liability
The warranty period is 24 months from the date of delivery of the goods. Obvious defects must be notified in writing no later than two weeks after receipt of the goods. In the event of a warranty claim, the supplier shall be entitled to choose between rectification of the defect, replacement delivery or repayment or crediting of the purchase price (replacement goods shall be delivered free domicile). If the rectification of the defect or the replacement delivery fails, the Purchaser may withdraw from the contract or demand a reduction of the purchase price. Any further claims of the Purchaser, in particular claims for damages of the Purchaser, shall be excluded unless the damage was caused intentionally or by gross negligence by the Supplier or its vicarious agent.
Copyright
KS Drehtechnik Sauerland reserves the copyrights to offers, drawings, samples, photos, graphics and other documents. They may not be made accessible to third parties without the consent of the seller. In the case of custom-made products for customers, the customer assumes liability for the fact that the supplier does not violate any rights of third parties (in particular property rights, copyrights and reproduction rights) with the execution of the order.
Product actuality
The product illustrations in the brochures do not always correspond to the currently available products. The supplier reserves the right to deliver the successor product. In any case, the customer will be informed of the change before delivery.
Terms of payment
The prices at the time of the order are valid. Invoice reductions such as non-agreed discounts, packaging deductions, postage deductions or other reductions to which the supplier has not agreed shall remain as open items and shall be claimed. In the event of late payment, reminder fees and interest will be charged. After the expiry of the payment deadline set with the 3rd reminder, the claim will be handed over to a collection agency or a law firm.
Data protection
The personal data necessary for the execution of the contract will be provided by the buyer and stored by the seller in the context of the proper completion of the order processing. The Seller guarantees the highest level of security. He undertakes to protect the Buyer's data from any unauthorized access.
Final clause
Should one or more provisions of these GTCs become invalid, the validity of the remaining provisions shall not be affected. The ineffective regulation will be replaced by the relevant legal regulation. Place of jurisdiction and place of performance is Arnsberg/NRW.
